4. Project Scope and Changes

- Any changes to the project scope must be agreed upon in writing and may result in additional fees and extended deadlines.
5. Fees and Payment
- Fees for services will be outlined in the project proposal and agreement.
- A deposit may be required before the commencement of work.
- Invoices will be issued as per the payment schedule in the agreement, and payments are due upon receipt.
6. Client Responsibilities
- The Client agrees to provide all necessary content, materials, and access required for W3Hints to complete the project.
- The Client is responsible for reviewing deliverables and providing feedback in a timely manner.
7. Intellectual Property
- W3Hints retains the intellectual property rights to any pre-existing materials used in the project.
- Upon full payment, the Client will own the intellectual property rights to the final deliverables, excluding any third-party materials used under license.
8. Confidentiality
- Both parties agree to keep confidential any proprietary information received from the other party during the course of the project.
- Confidential information will not be disclosed to any third party without prior written consent.
9. Warranties and Liability
- W3Hints warrants that the services provided will be performed in a professional manner and in accordance with industry standards.
- W3Hints is not liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the deliverables.
10. Termination
- Either party may terminate the agreement with written notice if the other party breaches any material term of the agreement and fails to remedy the breach within 14 days of notice.
- Upon termination, the Client agrees to pay for all work completed up to the date of termination.
11. Governing Law
- These Terms and Conditions shall be governed by and construed in accordance with the laws of punjab India
- Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Mohali, Punjab INDIA.
12. Changes to Terms
- W3Hints reserves the right to modify these Terms and Conditions at any time. Any changes will be posted on our website, and continued use of our services constitutes acceptance of the updated terms.
